Four Am Law 100 Firms Land Roles on Accounting, Pharma Deals

Tax services giant HR Block, Inc., has agreed to sell its accounting and consulting firm arm, RSM McGladrey, to accounting firm McGladrey Pullen for $610 million. The transaction, $65 million of which HR Block will finance, is expected to close this fall.

Kansas City, Missouri–based HR Block, the nation’s largest tax-preparer, has enlisted Husch Blackwell MA chair Gary Gilson as primary outside counsel on the deal. Gilson also advised the company on its controversial $288 million acquisition of TaxAct software-maker 2SS Holdings in October.

As The Am Law Daily has previously reported, the Justice Department filed a civil antitrust suit to block that deal, which would combine two of the country’s three largest tax preparation companies into one entity, in May. That suit remains active. (Willkie Farr Gallagher and Hogan Lovells are advising the two companies on antitrust issues in connection with that suit.)
